1. Acceptance of Terms

By accessing or using the Texas Broker AI website and subscription service ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and NextHome Leverage, Inc. ("Company," "we," "us," or "our").

2. Description of Service

Texas Broker AI is an AI-powered knowledge assistant designed exclusively for licensed real estate agents and brokers operating in the State of Texas. The Service provides informational guidance on topics including, but not limited to, TREC promulgated contracts and forms, Texas real estate law and compliance, brokerage operations, listing and buyer representation practices, and real estate marketing strategies.

2.1 Not Legal Advice

THE SERVICE DOES NOT PROVIDE LEGAL, FINANCIAL, TAX, OR INVESTMENT ADVICE. All content generated by Texas Broker AI is for informational and educational purposes only. Nothing in the Service constitutes legal advice, creates an attorney-client relationship, or should be relied upon as a substitute for consultation with a licensed Texas attorney, CPA, or other qualified professional. Always consult appropriate professionals before making decisions that may have legal or financial consequences.

2.2 Not a Substitute for TREC Guidance

The Service is not affiliated with, endorsed by, or a substitute for guidance from the Texas Real Estate Commission (TREC). For official regulatory guidance, licensing requirements, and disciplinary matters, always consult TREC directly at trec.texas.gov.

3. Eligibility and Account Registration

• You must be at least 18 years of age to use the Service.
• You must hold a valid Texas real estate license (sales agent or broker) or be employed by a licensed Texas real estate brokerage to subscribe to a paid plan.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• You may not share your account credentials with any other person. Each subscription is for individual use only, except as provided under the Broker/Team plan.
• We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

4. Subscription Plans and Billing

4.1 Plan Tiers

Texas Broker AI offers three subscription tiers: Agent (individual agents), Agent Pro (agents requiring advanced features), and Broker/Team (brokerages and team leads). Plan features, pricing, and included usage limits are described on the Pricing page and are subject to change with reasonable notice.

4.2 Billing and Payment

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. All fees are stated in U.S. dollars and are exclusive of applicable taxes.

4.3 Free Trial

We may offer a free trial period for new subscribers. At the end of the free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial period ends. We reserve the right to modify or discontinue free trial offers at any time.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to the Service until that date. We do not provide refunds for partial billing periods except where required by applicable law. Annual subscriptions cancelled within 7 days of the initial purchase date may be eligible for a prorated refund at our discretion.

4.5 Price Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase via email to your registered address. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service to provide legal, financial, or professional advice to third parties as if it were your own expertise.
• Reproduce, distribute, sell, or sublicense any content generated by the Service without our prior written consent.
• Attempt to reverse-engineer, decompile, or extract the underlying AI model, training data, or proprietary algorithms.
• Use automated scripts, bots, or scrapers to access the Service in bulk or at a rate that unreasonably burdens our infrastructure.
• Submit false, misleading, or fraudulent information through any form or interface on the Service.
• Use the Service in any manner that could violate TREC rules, the Texas Real Estate License Act (TRELA), or any applicable federal or state law.
• Harass, threaten, or harm any person using information obtained through the Service.
• Attempt to gain unauthorized access to any portion of the Service or its related systems.

6. Intellectual Property

The Service and all of its original content, features, and functionality — including but not limited to text, graphics, logos, icons, AI-generated responses, and software — are owned by NextHome Leverage, Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, professional real estate activities. This license does not include the right to resell, sublicense, or commercially exploit the Service or its content.

7. Disclaimers and Limitation of Liability

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED RESPONSES MAY CONTAIN INACCURACIES AND SHOULD ALWAYS BE INDEPENDENTLY VERIFIED.

7.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXTHOME LEVERAGE, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless NextHome Leverage, Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your violation of any third-party rights, or any content you submit through the Service.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be submitted to non-binding mediation in Travis County, Texas. If mediation fails to resolve the dispute within 60 days, the parties agree to submit to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Austin, Texas. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date and by sending an email to your registered address at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination — including intellectual property provisions, disclaimers, indemnification, and limitations of liability — shall survive termination.
